Happlace Terms of Service

1. Introduction and Scope

These Terms of Service ("Terms") form a legal agreement between you and Happlace LLC ("Happlace," "we," "our," or "us"). These Terms apply to your access to and use of happlace.com and related website pages (including our waitlist and contact pages), the Happlace mobile application, and related services (collectively, the "Service"). By accessing or using any part of the Service, you agree to these Terms. If you do not agree, do not use the Service. The Happlace mobile app is currently available to residents of the United States only. The website and waitlist are accessible globally.

2. Eligibility and Age Requirements

The Happlace app, waitlist, and account-based features are intended only for adults aged 18 and older. You must be at least 18 to create an account, join the waitlist, or use app features that require an account.

The mobile app includes an on-device age verification step before account creation. By completing verification and using the app, you represent and warrant that you are 18 or older.

If we determine that a person under 18 has created an account or submitted personal information for app use, we may suspend or terminate the account and delete associated information, subject to applicable law.

3. Website and Waitlist Use

Our website provides information about Happlace and may allow you to submit your email address to join a waitlist for product updates and launch notifications. By submitting your email through the website, you represent that you are at least 18 years old, that you are authorized to use that email address, and that you consent to receive related communications from us, subject to applicable law.

Joining the waitlist does not guarantee access to the app, invitation timing, feature availability, or any specific launch date.

You may unsubscribe from marketing or launch-update emails using the unsubscribe link in the email (if provided) or by contacting us.

4. Account Registration (App)

Happlace uses Sign in with Apple as a primary method of account creation and authentication. An Apple ID may be required to use certain app features. By signing in, you authorize Happlace to receive your name and email address (or Apple's private relay address if you choose to hide your email) from Apple. Apple's own terms and privacy policy govern Apple services.

5. User Content (App)

You retain ownership of content you create or upload ("User Content"), including answers, memories, posts, photos, messages, and comments. By posting User Content, you grant Happlace a limited, non-exclusive, royalty-free license to host, store, display, process, and distribute your content solely as necessary to operate and improve the Service in accordance with your settings.

We reserve the right, but not the obligation, to remove content or restrict access when we reasonably believe it violates these Terms or applicable law.

6. Privacy, Visibility Controls, and Public Share Links (App)

Happlace is designed for private, intentional sharing. You control who can see certain content through available visibility settings (for example, private, friends, or selected people/groups). You are responsible for choosing and managing those settings.

If you generate a public share link for content, that content may be accessed by anyone with the link without requiring a Happlace account. Public links remain active until you revoke them. Happlace cannot guarantee that content accessed through a public link has not been copied, cached, or saved by third parties.

7. Direct Messaging (App)

You may send direct messages to other users through the Service. You agree not to use messaging to harass, threaten, spam, or harm others. Happlace may access message content only as reasonably necessary to investigate abuse reports, comply with legal obligations, or protect platform safety.

8. Subscriptions and In-App Purchases (App)

Happlace may offer a free tier ("Free") and a paid subscription tier ("Plus"). Plus subscriptions are purchased and billed through Apple's App Store using in-app purchases.

Pricing and Billing: Current pricing is displayed in the app at the time of purchase. Prices may vary by country or region as determined by Apple. Billing is managed by Apple; Happlace does not collect or store your payment information.

Auto-Renewal: Plus subscriptions automatically renew at the end of each billing period unless canceled in accordance with Apple's subscription settings and deadlines.

Cancellation and Refunds: You may cancel through your Apple ID subscription settings. Refund requests for in-app purchases must be submitted to Apple and are governed by Apple's policies.

Happlace may modify subscription pricing or features with reasonable advance notice where required by law.

9. Push Notifications (App)

If you enable notifications, you consent to receive push notifications from Happlace for events such as messages, friend requests, comments, and service updates. You can manage or disable push notifications in your device settings.

The Service may integrate with or rely on third-party providers (including Apple, cloud hosting/storage providers, analytics providers, and security/infrastructure providers) and may include links to third-party websites or social media pages.

Your use of third-party services is governed by those third parties' terms and privacy policies. Happlace is not responsible for third-party services, content, or practices.

12. Intellectual Property and Copyright

Happlace and its logos, designs, software, and original content are the intellectual property of Happlace or its licensors and are protected by applicable law. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

If you believe content on the Service infringes your copyright, send a written notice to support@happlace.com identifying the copyrighted work, the allegedly infringing content, your contact information, and your basis for the claim.

13. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Happlace and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your User Content, your misuse of the Service, or your violation of these Terms.

14. Termination and Account Deletion

We may suspend or terminate your access to the website or app, or disable your account, if you violate these Terms, create risk or harm to users or the Service, or where required by applicable law. We will use reasonable efforts to provide notice where practicable.

You may delete your app account through the app settings. Upon deletion, your account and associated content are deactivated immediately. Personal information is anonymized and content is permanently removed within 30 days, except where retention is required by applicable law.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH DISCLAIMERS ARE PROHIBITED BY LAW.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Happlace and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill, arising from or related to your use of or inability to use the Service. Our total liability for claims related to the Service will not exceed the greater of $100 or the amount you paid to Happlace in the twelve months preceding the claim.

17. Dispute Resolution

Please contact us first at support@happlace.com so we can try to resolve disputes informally. If informal resolution is unsuccessful, disputes arising out of or relating to these Terms or the Service shall be resolved in courts of competent jurisdiction in Williamson County, Texas, and you consent to personal jurisdiction there, except where applicable law requires otherwise.

18. Changes to Terms

We may update these Terms from time to time. We will post the updated version on this page and update the "Last updated" date above. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.

19. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles, except where applicable law provides otherwise.
